Welcome to the WHAFIX SOLAR Distributor Program. This Distributor Program Agreement ("Agreement") governs your participation in the WHAFIX SOLAR Distributor Program and establishes the rights, responsibilities, obligations, and expectations applicable to every approved Distributor. By registering for the Program, paying the applicable activation fee, activating your Distributor Account, or participating in any aspect of the Program, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

WHAFIX SOLAR believes that sustainable business growth is built upon integrity, professionalism, transparency, and mutually beneficial partnerships. The Distributor Program has been designed to enable individuals and businesses to introduce customers to genuine solar products and professional energy solutions while earning commissions and rewards for eligible sales completed through the Program.

Although Distributors play an important role in introducing customers to WHAFIX SOLAR, all product sales remain transactions between the customer and WHAFIX SOLAR. WHAFIX SOLAR remains solely responsible for confirming orders, receiving order payments, supplying products, coordinating logistics, providing installation services where applicable, administering warranties, and delivering after-sales support unless expressly agreed otherwise in writing.

This Agreement applies to all Distributor Accounts, referral activities, commissions, referral rewards, WHAFIX Points (WP), marketing activities, promotional campaigns, distributor dashboards, future platform features, and any additional products or services that WHAFIX SOLAR may introduce under the Distributor Program.

This Agreement should be read together with the WHAFIX SOLAR Terms & Conditions, Privacy Policy, Refund & Returns Policy, Warranty Policy, Shipping & Delivery Policy, Disclaimer, and any additional policies or guidelines published by WHAFIX SOLAR from time to time. Where any matter specifically relates to another published policy, that policy shall also apply.

Nothing contained in this Agreement shall limit any mandatory rights available under applicable laws of the Federal Republic of Nigeria. Where any provision of this Agreement conflicts with mandatory legal requirements, the applicable law shall prevail only to the extent necessary to resolve the inconsistency.

The WHAFIX SOLAR Distributor Program is open to eligible individuals and legally recognised businesses that satisfy the requirements established by WHAFIX SOLAR. Participation in the Program is a privilege and not a guaranteed right. WHAFIX SOLAR reserves the right to approve, reject, suspend, or terminate any Distributor Account in accordance with this Agreement.

Eligibility Requirements

To participate in the Distributor Program, applicants must satisfy the following minimum requirements:

• Be at least eighteen (18) years of age.
• Possess the legal capacity to enter into a binding agreement.
• Provide complete, accurate, and truthful registration information.
• Maintain valid contact information throughout their participation in the Program.
• Comply with this Agreement and all applicable WHAFIX SOLAR policies.

Business entities registering as Distributors confirm that the individual completing the registration has the authority to bind the business to this Agreement.

Registration Process

Applicants may register for the Distributor Program through the official WHAFIX SOLAR website by completing the registration process and submitting all required information. Registration alone does not grant Distributor status or entitle an applicant to receive commissions or other Program benefits.

WHAFIX SOLAR may request additional information or documentation where reasonably necessary to verify an applicant's identity, prevent fraud, comply with legal obligations, or protect the integrity of the Distributor Program.

Distributor Activation Fee

Following successful registration, applicants are required to pay a Distributor Account Activation Fee of ₦30,000 (Thirty Thousand Naira). The activation fee grants access to the Distributor Program, Distributor Dashboard, referral system, commission structure, and other Program features made available by WHAFIX SOLAR.

Where payment is successfully completed through the approved Paystack payment gateway, Distributor Accounts may be activated automatically. Where payment is made through any other approved method, activation may remain pending until WHAFIX SOLAR successfully verifies receipt of payment.

The Distributor Activation Fee is non-refundable once a Distributor Account has been activated, except where otherwise required by applicable law. Applicants are therefore encouraged to carefully review this Agreement before making payment.

Application Review and Right of Rejection

WHAFIX SOLAR reserves the right to reject any application, decline account activation, or refuse participation in the Distributor Program where it reasonably believes that approval would pose a risk to the business, its customers, or the integrity of the Program.

Applications may be rejected for reasons including, but not limited to:

• Submission of false, misleading, or incomplete information.
• Failure to satisfy eligibility requirements.
• Identity verification concerns.
• Reasonable suspicion of fraud or unlawful activity.
• Previous termination from the Distributor Program.
• Activities likely to damage the reputation of WHAFIX SOLAR.
• Any other circumstance which WHAFIX SOLAR reasonably considers inconsistent with the objectives of the Program.

WHAFIX SOLAR shall not be obliged to disclose detailed internal review procedures or fraud detection methods when declining an application.

Independent Contractor Relationship

Participation in the Distributor Program does not create an employment relationship, partnership, joint venture, agency, franchise, or similar legal relationship between a Distributor and WHAFIX SOLAR.

Distributors participate in the Program solely as independent contractors and are not authorised to represent themselves as employees, staff members, officers, agents, legal representatives, or authorised spokespersons of WHAFIX SOLAR unless expressly authorised in writing.

Nothing in this Agreement authorises a Distributor to bind WHAFIX SOLAR to any contract, promise, obligation, warranty, representation, or commitment made to any customer or third party.

Upon successful registration and activation of a Distributor Account, WHAFIX SOLAR grants the Distributor access to the Distributor Dashboard and related Program features. The Dashboard serves as the Distributor's primary portal for managing referrals, monitoring commissions, reviewing account activity, submitting payout requests, tracking orders, and accessing other services made available under the Distributor Program.

Distributor Dashboard

The Distributor Dashboard is intended to provide a transparent overview of the Distributor's participation in the Program. Depending on the features available at any given time, the Dashboard may display information including, but not limited to:

• Distributor profile information.
• Total completed sales.
• Pending commissions awaiting clearance.
• Available wallet balance.
• Payout history.
• Referral performance.
• WHAFIX Points (WP).
• Commission history.
• Product catalogue and pricing.
• Referral rewards.
• Announcements and promotional campaigns.
• Additional tools introduced by WHAFIX SOLAR from time to time.

The information displayed within the Distributor Dashboard is provided for convenience only. WHAFIX SOLAR reserves the right to correct calculation errors, reconcile account balances, update transaction records, remove duplicate entries, or make any other adjustments reasonably necessary to maintain the accuracy and integrity of the Distributor Program.

Account Security

Distributors are solely responsible for maintaining the confidentiality of their login credentials, passwords, authentication codes, and any other security information associated with their Distributor Account.

Any activity carried out through a Distributor Account shall be deemed to have been performed by the account holder unless WHAFIX SOLAR determines otherwise following investigation. Distributors should immediately notify WHAFIX SOLAR if they suspect unauthorized access, compromised credentials, or any suspicious activity affecting their account.

WHAFIX SOLAR shall not be responsible for losses arising from a Distributor's failure to adequately protect their login credentials or account information.

Account Information

Distributors agree to keep all personal, banking, contact, and business information accurate and up to date throughout their participation in the Program. Failure to maintain accurate information may delay account verification, payout processing, customer communication, or other Program services.

Where banking details, legal names, contact information, or business information are changed, WHAFIX SOLAR may temporarily suspend payout processing until the updated information has been verified.

Account Access

Distributor Accounts are intended solely for use by the registered account holder. While WHAFIX SOLAR does not restrict the number of Distributor Accounts that an individual or business may register, each account remains independently subject to this Agreement, including payment of the applicable activation fee and compliance with all Program requirements.

Distributors remain responsible for all activities carried out through each Distributor Account registered in their name or under their control.

Account Suspension

WHAFIX SOLAR reserves the right to temporarily suspend access to any Distributor Account where it reasonably believes that suspension is necessary to investigate suspected fraud, unauthorized activity, payment irregularities, security concerns, breaches of this Agreement, or any conduct capable of affecting the integrity of the Distributor Program.

During periods of suspension, WHAFIX SOLAR may temporarily restrict access to commissions, wallet balances, referral rewards, payout requests, or other Distributor Program features until the relevant investigation has been concluded.

Future Platform Features

WHAFIX SOLAR continually develops and improves its Distributor Platform. New dashboard features, earning opportunities, performance tools, reporting functions, communication systems, training materials, reward mechanisms, distributor tiers, and promotional campaigns may be introduced, modified, or discontinued at any time without creating any obligation to maintain previous functionality indefinitely.

The Distributor Program enables eligible Distributors to earn commissions and referral rewards from qualifying sales completed in accordance with this Agreement. All commissions, referral rewards, and WHAFIX Points (WP) are subject to verification, clearance procedures, and the rules governing the Distributor Program.

Commission Structure

Commission rates are determined solely by WHAFIX SOLAR. Different products, product categories, promotional campaigns, customer groups, or sales channels may attract different commission percentages or reward structures.

WHAFIX SOLAR reserves the right to introduce, modify, suspend, or discontinue commission rates at any time. Unless expressly stated otherwise, changes shall apply prospectively and shall not ordinarily affect commissions already cleared under the Program.

When Commissions Are Earned

A Distributor becomes eligible to earn commission only after all of the following conditions have been satisfied:

• The customer successfully places an order.
• Full payment has been confirmed by WHAFIX SOLAR.
• The order has been successfully processed.
• The product has been delivered to the customer.
• The order remains valid and has not been cancelled, refunded, reversed, or successfully disputed.

Until these conditions have been satisfied, any commission displayed within the Distributor Dashboard shall be regarded as pending and shall not constitute earned income.

Pending Commission Clearance

Pending commissions remain subject to internal verification and clearance procedures. Distributors acknowledge that pending commissions cannot be withdrawn, transferred, assigned, pledged as security, exchanged, or otherwise treated as available funds until officially cleared by WHAFIX SOLAR.

Pending commissions may be delayed where additional verification becomes necessary, including situations involving delivery disputes, payment verification, fraud investigations, courier incidents, supplier issues, chargebacks, customer complaints, or any other circumstance reasonably requiring further review.

Refunds, Cancellations and Chargebacks

Where an order is cancelled, refunded, reversed, rejected, successfully disputed, or otherwise becomes ineligible for commission under this Agreement, the associated commission may be cancelled, reduced, withheld, reversed, or deducted from future earnings as appropriate.

Where a customer refuses delivery and becomes entitled to a refund in accordance with the applicable Refund Policy, transportation costs, logistics expenses, or other reasonable deductions may be applied before any refund is processed. Any associated Distributor commission relating to that order shall become void.

Where products are lost during transit or become the subject of courier investigations, WHAFIX SOLAR may temporarily suspend commission clearance until the matter has been fully resolved.

Referral Rewards

WHAFIX SOLAR may reward Distributors who successfully introduce new Distributors into the Program. Subject to the applicable Program rules, an eligible Distributor may earn a referral reward equivalent to two percent (2%) of qualifying sales completed by the referred Distributor.

Referral rewards are earned only on qualifying sales recognised by WHAFIX SOLAR and remain subject to the same verification, clearance, cancellation, adjustment, and fraud prevention procedures applicable to ordinary Distributor commissions.

WHAFIX SOLAR reserves the right to modify referral reward structures, eligibility requirements, qualifying sales criteria, and promotional campaigns at any time.

WHAFIX Points (WP)

WHAFIX Points (WP) are loyalty and promotional reward points issued by WHAFIX SOLAR to recognise Distributor participation and qualifying activities under the Program. WHAFIX Points may be awarded for completed orders, promotional campaigns, referral activities, special events, performance milestones, or any other activity designated by WHAFIX SOLAR.

WHAFIX Points do not possess any guaranteed monetary value and may only be redeemed where WHAFIX SOLAR expressly makes redemption options available. Depending on the promotional campaign operating at the relevant time, WHAFIX Points may be redeemable for cash rewards, discount coupons, products, promotional incentives, or other benefits determined solely by WHAFIX SOLAR.

WHAFIX SOLAR reserves the right to determine redemption values, eligibility requirements, expiry periods, promotional conditions, redemption limits, and any other rules governing WHAFIX Points. Redemption opportunities may be introduced, modified, suspended, or discontinued without prior notice.

Payout Requests

Distributors may submit manual payout requests through the Distributor Platform in accordance with the procedures established by WHAFIX SOLAR. Subject to successful verification and compliance with this Agreement, WHAFIX SOLAR aims to process approved payout requests within twenty-four (24) hours.

Payout processing times may be extended due to weekends, public holidays, banking system delays, payment gateway interruptions, compliance reviews, fraud investigations, force majeure events, or other circumstances beyond the reasonable control of WHAFIX SOLAR.

All payouts shall be made by bank transfer to the verified bank account registered by the Distributor. Any applicable transfer charges, banking fees, taxes, or statutory deductions shall remain the responsibility of the Distributor unless WHAFIX SOLAR expressly states otherwise.

Taxes

Distributors remain solely responsible for determining, reporting, and paying any taxes, levies, duties, or statutory obligations arising from commissions, referral rewards, payouts, or any other earnings received under the Distributor Program. WHAFIX SOLAR does not provide tax advice and assumes no responsibility for a Distributor's individual tax obligations.

The primary role of a Distributor is to introduce prospective customers to WHAFIX SOLAR products and services, assist customers throughout the purchasing process where appropriate, and facilitate successful sales in accordance with this Agreement. WHAFIX SOLAR remains solely responsible for accepting or rejecting orders, processing payments received by the Company, supplying products, arranging delivery, providing installation services where applicable, administering warranties, and delivering after-sales support.

Sales Process

Distributors may promote WHAFIX SOLAR products and assist customers with placing orders through the official WHAFIX SOLAR platform. Every order remains subject to confirmation, stock availability, payment verification, technical assessment where necessary, and final acceptance by WHAFIX SOLAR. Submission of an order does not constitute acceptance until WHAFIX SOLAR confirms that the order has been approved for processing.

WHAFIX SOLAR reserves the right to reject, suspend, modify, or cancel any order in accordance with its Terms & Conditions, Refund & Returns Policy, fraud prevention procedures, or other applicable policies.

Customer Payments

Customers may complete payment either directly to WHAFIX SOLAR using approved payment channels or to a Distributor where the Distributor has arranged to facilitate payment on behalf of the customer. Regardless of the payment method selected, no order shall be processed until the full purchase amount has been successfully received and confirmed by WHAFIX SOLAR.

Where a Distributor receives payment from a customer, the Distributor acts solely as an independent intermediary for the purpose of collecting payment from the customer and submitting the corresponding order to WHAFIX SOLAR. The Distributor does not act as an employee, legal representative, agent, or financial representative of WHAFIX SOLAR.

WHAFIX SOLAR shall not be liable for any funds paid by a customer to a Distributor until those funds have been successfully remitted to and confirmed by WHAFIX SOLAR. Customers are therefore encouraged to verify payment instructions and retain evidence of all payments made.

Remittance of Customer Funds

Distributors who collect customer payments are responsible for remitting the correct purchase amount to WHAFIX SOLAR before any order can be processed. WHAFIX SOLAR assumes no responsibility for delays resulting from a Distributor's failure to remit customer funds promptly or accurately.

Where a Distributor intentionally withholds customer payments, submits fraudulent payment confirmations, diverts customer funds, or otherwise misappropriates money belonging to customers or WHAFIX SOLAR, WHAFIX SOLAR may immediately suspend or permanently terminate the Distributor Account, withhold commissions, recover outstanding amounts, report the matter to the appropriate authorities, and pursue any other legal remedies available under applicable law.

Pricing and Discounts

All product prices displayed by WHAFIX SOLAR constitute the official selling prices unless expressly stated otherwise. Distributors shall not alter product prices, negotiate unauthorized discounts, advertise misleading pricing, or make pricing commitments inconsistent with official WHAFIX SOLAR pricing.

Only WHAFIX SOLAR may approve promotional pricing, discounts, incentives, bundled offers, or special pricing arrangements. Any discount or promotional offer communicated by a Distributor without prior approval shall not be binding upon WHAFIX SOLAR.

Delivery Estimates and Installation

Distributors may communicate estimated delivery periods published by WHAFIX SOLAR but shall not guarantee specific delivery dates, installation appointments, completion timelines, or project schedules.

Where customers request urgent installation services or accelerated scheduling, Distributors should direct such requests to WHAFIX SOLAR through the Company's official communication channels. Installation dates remain subject to technician availability, logistics planning, weather conditions, customer readiness, site accessibility, and other operational considerations.

Official Warranties

Distributors shall only communicate warranty information officially published by WHAFIX SOLAR or the applicable manufacturer. Distributors are not authorised to create additional warranties, guarantee product performance beyond official specifications, extend warranty periods, or make representations inconsistent with the official Warranty Policy.

Customer Relationship

Distributors maintain the relationship with customers they personally introduce to WHAFIX SOLAR for referral and sales purposes. However, every sale, contract of purchase, warranty claim, installation service, technical assessment, refund request, and after-sales service remains the responsibility of WHAFIX SOLAR as the supplier and contracting party.

Where a customer subsequently contacts WHAFIX SOLAR directly regarding future purchases, commissions or referral rewards shall only be payable where the Distributor has made prior arrangements with WHAFIX SOLAR or where the purchase otherwise qualifies under the applicable Distributor Program rules.

WHAFIX SOLAR recognises that effective marketing plays an important role in the success of its Distributor Program. Subject to this Agreement, active Distributors may promote WHAFIX SOLAR products and services using approved marketing practices while maintaining the professionalism, integrity, and reputation of the WHAFIX SOLAR brand.

Permitted Marketing Activities

Subject to compliance with this Agreement, Distributors may advertise WHAFIX SOLAR products through social media platforms, business websites, blogs, email campaigns, online marketplaces where permitted, printed promotional materials, digital advertisements, video content, exhibitions, and other lawful marketing channels.

Distributors may also create original promotional content, including videos, product demonstrations, reviews, educational materials, and marketing campaigns provided that all statements remain truthful, accurate, and consistent with official WHAFIX SOLAR product information.

Brand Usage

WHAFIX SOLAR grants active Distributors a limited, non-exclusive, non-transferable, and revocable licence to use approved WHAFIX SOLAR logos, product images, videos, brochures, and marketing materials solely for the purpose of promoting WHAFIX SOLAR products under the Distributor Program.

This permission exists only while the Distributor remains an active participant in the Distributor Program and automatically terminates upon suspension, termination, or withdrawal from the Program.

Restrictions on Brand Usage

Unless expressly authorised in writing by WHAFIX SOLAR, Distributors shall not:

• Modify, redraw, distort, recolour, animate, or otherwise alter the WHAFIX SOLAR logo.
• Present themselves as employees, directors, official representatives, or agents of WHAFIX SOLAR.
• Register domain names, business names, usernames, or social media accounts intended to impersonate WHAFIX SOLAR.
• Use WHAFIX SOLAR branding in any manner capable of misleading customers regarding the Distributor's relationship with the Company.
• Create promotional materials that falsely imply endorsements, partnerships, certifications, or guarantees not expressly granted by WHAFIX SOLAR.

Advertising Standards

Distributors are expected to conduct all advertising honestly and professionally. Marketing materials must accurately represent product specifications, pricing, warranties, installation services, delivery estimates, and system capabilities.

Distributors shall not publish misleading advertisements, exaggerated performance claims, false testimonials, fake discounts, deceptive comparisons, fabricated customer reviews, or any statement capable of misleading prospective customers.

Paid Advertising

Distributors may conduct paid advertising campaigns on platforms including Facebook, Google, TikTok, Instagram, LinkedIn, YouTube, and other legitimate advertising networks, provided that such campaigns comply with this Agreement.

However, Distributors shall not purchase advertisements, sponsored listings, search engine keywords, domain names, or similar promotional placements using the terms "WHAFIX SOLAR", "WHAFIX", "whafixsolar.com", or any confusingly similar variation without the prior written consent of WHAFIX SOLAR.

Editing Product Content

Distributors may adapt or modify official product photographs and promotional images where reasonably necessary for legitimate marketing purposes, provided that such modifications do not misrepresent the appearance, specifications, functionality, or performance of the products being advertised.

Intellectual Property Ownership

All intellectual property rights relating to the WHAFIX SOLAR name, logos, trademarks, product descriptions, website content, software, databases, documents, training materials, graphics, marketing assets, and other proprietary materials remain the exclusive property of WHAFIX SOLAR or its licensors.

Nothing contained in this Agreement transfers ownership of any intellectual property to a Distributor. Participation in the Distributor Program grants only the limited rights expressly described in this Agreement.

Removal of Branding

Upon suspension, termination, or voluntary withdrawal from the Distributor Program, the Distributor shall immediately cease all use of WHAFIX SOLAR branding and promptly remove all WHAFIX SOLAR logos, promotional materials, marketing assets, and intellectual property from websites, social media accounts, advertisements, printed materials, business profiles, and any other medium under the Distributor's control unless otherwise authorised in writing by WHAFIX SOLAR.

WHAFIX SOLAR is committed to maintaining a professional, transparent, and trustworthy Distributor Program that benefits customers, Distributors, and the Company alike. Every Distributor is expected to conduct business honestly, ethically, and in a manner that protects the reputation and integrity of the WHAFIX SOLAR brand.

Professional Standards

Distributors shall conduct all business activities with honesty, courtesy, professionalism, and respect when interacting with customers, prospective customers, other Distributors, suppliers, business partners, and representatives of WHAFIX SOLAR. Distributors should always provide accurate information and refrain from conduct capable of damaging customer confidence in the Company or its products.

Participation in the Distributor Program requires continued compliance with this Agreement and all applicable WHAFIX SOLAR policies. Distributors remain responsible for ensuring that their activities comply with all applicable laws, regulations, advertising standards, and consumer protection requirements.

Prohibited Conduct

To protect the integrity of the Distributor Program, Distributors shall not engage in any activity that is unlawful, deceptive, fraudulent, or inconsistent with the objectives of the Program. Prohibited activities include, but are not limited to:

• Submitting fake, misleading, or fraudulent customer orders.
• Providing false payment confirmations or fabricated transaction evidence.
• Making false claims regarding product specifications, pricing, warranties, or installation services.
• Publishing fake testimonials, reviews, endorsements, or customer experiences.
• Advertising discounts, promotions, or incentives that have not been approved by WHAFIX SOLAR.
• Impersonating WHAFIX SOLAR employees or representing themselves as authorised officers, staff members, or legal representatives of the Company.
• Uploading malicious software, viruses, automated scripts, bots, or any technology intended to interfere with the operation of the Distributor Platform.
• Attempting to gain unauthorised access to other Distributor Accounts, administrative systems, databases, or restricted areas of the Platform.
• Using stolen identities, forged documents, fraudulent payment methods, or unlawfully obtained customer information.
• Engaging in any activity intended to manipulate commissions, referral rewards, promotional campaigns, or any other aspect of the Distributor Program.
• Encouraging customers or other Distributors to breach this Agreement or any other WHAFIX SOLAR policy.

Customer Communications

Distributors are expected to communicate with customers respectfully and professionally at all times. Harassment, intimidation, abusive language, discrimination, threats, or any conduct likely to create an unsafe or hostile environment shall not be tolerated.

Distributors shall not engage in unsolicited bulk messaging, spam emails, automated messaging campaigns, deceptive WhatsApp promotions, or any other communication method that violates applicable laws or accepted marketing practices.

Protection of the Platform

Distributors shall not knowingly exploit software bugs, security vulnerabilities, programming errors, technical loopholes, or system malfunctions for personal benefit or to obtain commissions, rewards, or other advantages to which they are not legitimately entitled.

Where a Distributor becomes aware of a security vulnerability or technical issue affecting the Distributor Platform, the Distributor is encouraged to promptly report the matter to WHAFIX SOLAR so that appropriate corrective measures may be implemented.

Compliance Monitoring

WHAFIX SOLAR reserves the right to monitor Distributor activities, investigate suspected breaches of this Agreement, review transaction histories, verify customer information, audit commission calculations, and implement reasonable fraud prevention measures where necessary to protect the Distributor Program.

Failure to cooperate with a legitimate investigation or compliance review may result in temporary suspension or permanent termination of Distributor privileges.

The WHAFIX SOLAR Distributor Program has been designed to encourage long-term customer relationships and sustainable business growth. Accordingly, the Program recognises the valuable role played by Distributors in introducing new customers and expanding the reach of WHAFIX SOLAR products and services.

Referral Relationships

Where a Distributor successfully introduces a customer to WHAFIX SOLAR, the Distributor shall continue to maintain that customer relationship for referral purposes, provided that future purchases continue to be initiated through that Distributor in accordance with the Distributor Program.

Customers remain free to communicate directly with WHAFIX SOLAR regarding product enquiries, warranty support, installation services, technical assistance, maintenance, or any other legitimate business purpose. Such communications shall not automatically affect the Distributor's referral relationship unless the Program rules provide otherwise.

Future Purchases

Where an existing customer returns to purchase additional products or services through the same Distributor, the Distributor may become eligible for commissions in accordance with the commission structure applicable at the time of the new purchase.

Where a customer independently purchases products from WHAFIX SOLAR without any involvement of the Distributor, no commission or referral reward shall ordinarily be payable unless WHAFIX SOLAR expressly determines otherwise under a promotional campaign or written arrangement.

Referral of New Distributors

WHAFIX SOLAR may permit active Distributors to introduce prospective Distributors into the Program. Subject to the applicable Program rules, an eligible referring Distributor may receive referral rewards based on qualifying sales completed by the referred Distributor.

Referral rewards are intended to recognise genuine business development efforts and shall not be interpreted as compensation for recruitment alone. Referral rewards become payable only where qualifying product sales have been successfully completed in accordance with this Agreement.

Distributor Levels and Incentive Programmes

WHAFIX SOLAR may establish different Distributor categories, achievement levels, leadership programmes, performance incentives, seasonal promotions, contests, loyalty campaigns, recognition awards, training initiatives, or similar programmes designed to encourage Distributor growth and reward outstanding performance.

Such programmes may include, without limitation, Bronze, Silver, Gold, Platinum, Elite, Ambassador, or other Distributor classifications determined solely by WHAFIX SOLAR.

Eligibility requirements, benefits, qualification criteria, reward structures, promotional periods, and participation rules may be introduced, amended, suspended, or discontinued at any time.

International Expansion

WHAFIX SOLAR may extend participation in the Distributor Program to individuals or businesses located outside Nigeria where operationally feasible and legally permissible. Participation by international Distributors shall remain subject to this Agreement together with any additional country-specific requirements that WHAFIX SOLAR may publish from time to time.

Future Development of the Distributor Program

WHAFIX SOLAR continually invests in improving the Distributor Program and reserves the right to introduce new products, services, earning opportunities, software features, technologies, commission structures, marketing tools, payment options, educational resources, promotional campaigns, and business initiatives as the Company evolves.

Nothing contained in this Agreement shall be interpreted as guaranteeing that any particular feature, commission rate, incentive programme, or earning opportunity will remain available indefinitely.

WHAFIX SOLAR is committed to maintaining a secure, transparent, and professionally managed Distributor Program. While we strive to build long-term relationships with our Distributors, participation in the Program remains conditional upon continued compliance with this Agreement and all applicable WHAFIX SOLAR policies. WHAFIX SOLAR therefore reserves the right to suspend, restrict, or terminate Distributor Accounts where necessary to protect the interests of the Company, its customers, other Distributors, or the integrity of the Distributor Program.

Suspension of Distributor Accounts

WHAFIX SOLAR may temporarily suspend a Distributor Account without prior notice where it reasonably believes that suspension is necessary to investigate suspected fraud, unusual account activity, payment irregularities, customer complaints, security concerns, breaches of this Agreement, or any activity capable of compromising the integrity of the Distributor Program.

During a period of suspension, WHAFIX SOLAR may temporarily restrict access to the Distributor Dashboard, commissions, wallet balances, payout requests, referral rewards, WHAFIX Points (WP), promotional campaigns, or any other Program feature until the investigation has been completed.

Grounds for Termination

WHAFIX SOLAR may permanently terminate a Distributor Account where the Distributor:

• Commits fraud or attempts to defraud WHAFIX SOLAR or its customers.
• Engages in illegal, deceptive, or unethical business practices.
• Submits fake orders, false payment confirmations, or misleading documentation.
• Misappropriates customer funds or fails to remit customer payments received.
• Uses WHAFIX SOLAR intellectual property in an unauthorised manner.
• Publishes misleading advertisements or false product claims.
• Commits copyright infringement or violates intellectual property rights.
• Repeatedly breaches this Agreement or any other WHAFIX SOLAR policy.
• Acts in any manner that materially damages the reputation or goodwill of WHAFIX SOLAR.

Termination of a Distributor Account shall not prevent WHAFIX SOLAR from pursuing any additional legal remedies available under applicable law.

Inactive Accounts

To maintain an active and productive Distributor network, WHAFIX SOLAR reserves the right to deactivate Distributor Accounts that remain inactive for a continuous period of twelve (12) months without any completed qualifying sales or other meaningful participation in the Distributor Program.

Prior to deactivation, WHAFIX SOLAR may, but is not obligated to, notify the Distributor and provide an opportunity to reactivate the account in accordance with any procedures established by the Company at that time.

Outstanding Earnings

Where a Distributor Account is suspended or terminated, WHAFIX SOLAR reserves the right to withhold pending commissions, referral rewards, or WHAFIX Points until all relevant investigations have been completed.

Commissions that have already been validly earned, successfully cleared, and are not the subject of any fraud investigation, refund, chargeback, or contractual dispute may remain eligible for payment in accordance with this Agreement. However, commissions associated with cancelled transactions, refunded orders, fraudulent activities, or breaches of this Agreement may be reduced, reversed, forfeited, or withheld as appropriate.

Effect of Termination

Upon termination of a Distributor Account, the Distributor shall immediately cease representing themselves as a WHAFIX SOLAR Distributor and shall discontinue all use of WHAFIX SOLAR branding, logos, marketing materials, brochures, promotional assets, and other intellectual property unless otherwise authorised in writing.

Termination shall not affect any rights, obligations, liabilities, or remedies that accrued before the effective date of termination.

Participation in the WHAFIX SOLAR Distributor Program is undertaken at the Distributor's own business risk. While WHAFIX SOLAR is committed to operating a reliable and professionally managed platform, no business opportunity is entirely free from commercial, operational, technological, or market-related risks. Distributors are encouraged to exercise independent judgment and conduct their own business activities responsibly.

Independent Business Decisions

Each Distributor remains solely responsible for their own business decisions, marketing strategies, customer relationships, tax obligations, advertising expenses, operational costs, and any other expenses incurred while participating in the Distributor Program. Nothing contained in this Agreement shall be interpreted as guaranteeing any minimum level of sales, commissions, income, profits, or business success.

Limitation of Liability

To the fullest extent permitted by applicable law, WHAFIX SOLAR shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to participation in the Distributor Program.

This limitation includes, without limitation:

• Loss of profits.
• Loss of commissions or anticipated earnings.
• Loss of business opportunities.
• Business interruption.
• Website or platform downtime.
• Payment gateway failures.
• Courier or logistics delays.
• Supplier shortages.
• Customer disputes.
• Government actions or regulatory changes.
• Force majeure events.

Force Majeure

WHAFIX SOLAR shall not be responsible for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, fire, flood, epidemics, pandemics, war, terrorism, civil unrest, labour disputes, internet outages, power failures, cyber-attacks, transportation disruptions, supplier shutdowns, governmental actions, or any other force majeure event.

Changes to the Distributor Program

WHAFIX SOLAR reserves the right to modify, expand, suspend, or discontinue any aspect of the Distributor Program, including commission structures, referral rewards, WHAFIX Points, Distributor categories, promotional campaigns, dashboard functionality, eligibility requirements, or other Program features.

Material changes to this Agreement will be published on the official WHAFIX SOLAR website. Continued participation in the Distributor Program after such changes become effective constitutes acceptance of the revised Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Where applicable, disputes shall also be subject to the relevant laws and jurisdiction of Lagos State.

Before commencing formal legal proceedings, both parties agree to first attempt to resolve any dispute through good-faith discussions. Where a dispute cannot be resolved within thirty (30) days, the parties agree to pursue mediation or arbitration before resorting to litigation, except where urgent legal remedies are required.

Severability

If any provision of this Agreement is found to be unlawful, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Entire Agreement

This Distributor Program Agreement, together with the WHAFIX SOLAR Terms & Conditions, Privacy Policy, Refund & Returns Policy, Warranty Policy, Shipping & Delivery Policy, Disclaimer, and any other policies expressly incorporated by reference, constitutes the entire agreement between WHAFIX SOLAR and each Distributor regarding participation in the Distributor Program.

WHAFIX SOLAR values every Distributor who joins the Distributor Program and is committed to building lasting business relationships based on trust, professionalism, transparency, and mutual success. Acceptance of this Agreement

By registering for the WHAFIX SOLAR Distributor Program, paying the Distributor Account Activation Fee, activating a Distributor Account, accessing the Distributor Dashboard, submitting referrals, earning commissions, receiving referral rewards, redeeming WHAFIX Points, requesting payouts, or otherwise participating in the Distributor Program, the Distributor confirms that they have read, understood, and agree to be legally bound by this Agreement.

Where a Distributor registers on behalf of a company, partnership, organisation, or other legal entity, the individual completing the registration represents and warrants that they possess the authority to bind that entity to this Agreement.
